The receiving party agrees to:

  • Use confidential information only for the purposes of the relevant engagement.
  • Protect it using reasonable safeguards.
  • Disclose it only to personnel, professional advisers, or authorized service providers who need to know it and are subject to appropriate confidentiality obligations.
  • Avoid unauthorized disclosure to third parties.

Confidential information does not include information that the receiving party can demonstrate is publicly available through no breach of obligation, was lawfully known before disclosure, was independently developed without using confidential information, or was lawfully received from another source without a confidentiality restriction.

A party may disclose confidential information when legally required to do so, subject to applicable legal requirements.

Where the parties have entered into a separate nondisclosure agreement, its terms will govern confidentiality to the extent of any conflict.

11. Data Protection and Privacy

Devstringx may collect and process personal information when individuals visit the Website, submit inquiries, communicate with our team, or engage our Services.

Such information may include contact details, business information, communications, technical information, and other data necessary for legitimate business purposes.

Clients are responsible for ensuring that they have the necessary rights, permissions, and legal grounds to provide personal data to Devstringx for processing.

Where Devstringx processes personal data on behalf of a Client, the parties will comply with applicable legal requirements and enter into additional data processing terms where necessary.

12. Information Security

Devstringx will apply security measures appropriate to the nature and scope of the Services, subject to the applicable Agreement.

However, no internet transmission, software system, or electronic storage method can be guaranteed to be completely secure.

Clients are responsible for maintaining appropriate access controls, protecting credentials, securing their own infrastructure, and promptly notifying Devstringx of suspected unauthorized access relating to the Services.

Specific security standards, incident notification procedures, audit rights, backup obligations, and service levels should be documented in the applicable Agreement where required.

13. Third-Party Services and External Links

The Website or Services may integrate with or link to third-party websites, platforms, APIs, cloud providers, payment processors, software libraries, and other services.

Third-party services are generally governed by their own terms, privacy policies, availability commitments, and licensing conditions.

Devstringx is not responsible for independent third-party services or content except to the extent responsibility cannot lawfully be excluded or is expressly assumed in a written Agreement.

The inclusion of a third-party link does not constitute an endorsement or guarantee of that provider.

14. Artificial Intelligence and Automated Systems

Certain Services may involve artificial intelligence, machine learning, generative AI, automated testing, or other automated technologies.

AI-generated or automated outputs may be inaccurate, incomplete, inconsistent, or unsuitable for a particular purpose.

Unless expressly agreed otherwise in writing:

  • AI-assisted outputs should be reviewed by qualified personnel before use in consequential decisions.
  • Clients are responsible for validating outputs against their requirements and applicable legal obligations.
  • Clients must not submit confidential, personal, or regulated information to third-party AI systems unless authorized and appropriately protected.
  • AI-related features may depend on third-party models, platforms, data sources, and usage restrictions.

The parties will define any project-specific AI governance, human oversight, data usage, intellectual property, and compliance requirements in the applicable Agreement.

15. Testing, Acceptance, and Warranties

Deliverables will be reviewed and accepted in accordance with the acceptance criteria and review period stated in the applicable Agreement.

Where a project agreement includes a warranty or defect-correction period, Devstringx will provide the remedies specified in that Agreement for covered issues reported within the applicable period.

Unless expressly agreed otherwise in writing, Devstringx does not guarantee that software will be entirely free of defects, uninterrupted, compatible with every environment, or suitable for every future requirement.

Issues arising from unauthorized modifications, unsupported environments, third-party changes, misuse, or Client-controlled systems may fall outside an agreed warranty, subject to the applicable Agreement and law.

16. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Website and general informational content are provided on an “as is” and “as available” basis.

Devstringx makes no general warranty that:

  • The Website will always be available or error-free.
  • All published information will be complete, current, or suitable for every purpose.
  • The Website will be free from every possible security vulnerability.
  • Any particular business result, revenue level, cost saving, or commercial outcome will be achieved through the use of our Services.

Any express warranties set out in a signed Agreement will apply according to their terms.

Nothing in these Terms excludes any warranty, consumer right, or other protection that cannot lawfully be excluded.

17. Limitation of Liability

To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, exemplary, or consequential losses, including loss of profits, revenue, business opportunities, anticipated savings, or goodwill, arising from the relevant Agreement.

To the extent permitted by applicable law, Devstringx’s aggregate liability arising out of or relating to a particular engagement will be limited to the fees paid or payable by the Client to Devstringx under that engagement during the twelve (12) months preceding the event giving rise to the claim.

The foregoing limitation is subject to any different limitation expressly agreed in writing and does not apply to liabilities that cannot lawfully be limited or excluded.

Nothing in this section excludes or limits liability for fraud, wilful misconduct, or any other liability to the extent such exclusion or limitation is prohibited by applicable law.

The parties may establish different liability limits, exclusions, indemnities, and insurance requirements in a project-specific Agreement.

18. Indemnification

To the extent permitted by applicable law, the Client agrees to indemnify and hold harmless Devstringx, its affiliates, and their respective personnel against third-party claims, losses, and reasonable costs arising directly from:

  • Materials supplied by the Client that infringe third-party rights.
  • The Client’s unlawful use of the Services.
  • The Client’s material breach of applicable law or the relevant Agreement.
  • The Client’s unauthorized use, distribution, or modification of deliverables.

This obligation will not apply to the extent a claim results from Devstringx’s own breach, negligence, misconduct, or other conduct for which the Client cannot lawfully be held responsible.

The party seeking indemnification must provide reasonably prompt notice of the claim and reasonable cooperation. The handling and settlement of any claim will be subject to applicable law and any relevant written Agreement.

19. Suspension and Termination

Either party may terminate a project or service engagement in accordance with the applicable Agreement.

Where the Agreement does not specify a process, a party may give written notice of a material breach and a reasonable opportunity to remedy that breach before termination, where appropriate and permitted by law.

Devstringx may suspend affected Services where reasonably necessary to address a security threat, unlawful activity, material non-payment, or a material breach of the applicable Agreement, subject to applicable notice requirements and law.

Upon termination:

  • The Client must pay outstanding amounts due for Services performed and approved expenses incurred, subject to the Agreement.
  • Each party must return, delete, or protect the other party’s confidential information as required by the Agreement and applicable law.
  • Access to hosted Services may end in accordance with the applicable service terms.
  • Rights and obligations intended to survive termination, including applicable confidentiality, intellectual property, payment, liability, and dispute provisions, will continue to apply.

Any handover, transition assistance, data export, or post-termination support will be handled according to the applicable Agreement.

20. Force Majeure

Neither party will be liable for a failure or delay caused by events beyond its reasonable control, including natural disasters, war, civil unrest, governmental actions, widespread telecommunications failures, major utility disruptions, or other qualifying events.

The affected party will notify the other party within a reasonable time where practicable and take reasonable steps to mitigate the effects.

If the event continues beyond a period specified in the applicable Agreement, either party may exercise any termination rights available under that Agreement or applicable law.

This section does not excuse payment obligations that accrued before the event or obligations that cannot lawfully be excused.

21. Compliance With Laws

Each party will comply with laws and regulations applicable to its activities and responsibilities under the relevant Agreement.

Clients are responsible for determining whether their intended use of the deliverables and Services meets the regulatory requirements applicable to their business, industry, customers, and operating locations.

Where a project involves regulated industries, sensitive data, export controls, financial services, healthcare, or other specialized requirements, the parties should document their respective compliance responsibilities in writing.

22. Governing Law and Dispute Resolution

These Terms will be governed by the laws of India, without regard to conflict-of-law principles, subject to mandatory laws applicable to the parties.

The parties will first attempt to resolve disputes through good-faith discussions between authorized representatives.

If the dispute cannot be resolved through those discussions, it will be submitted to the competent courts at Gautam Buddha Nagar, Uttar Pradesh, India, subject to applicable law and any valid dispute resolution or arbitration agreement between the parties.

Nothing in this section limits any mandatory rights or remedies available under applicable law.

23. Amendments to These Terms

Devstringx may update these Terms from time to time to reflect changes in its Services, business practices, legal requirements, or operational needs.

The updated version will be published on the Website with a revised “Last Updated” date.

Material changes will be communicated through reasonable means where required by law or the applicable Agreement.

Changes to these general Website Terms will not automatically amend a separately signed project agreement unless that agreement permits the change or the parties otherwise agree.

Your continued use of the Website after updated Terms become effective constitutes acceptance where such acceptance is legally valid.
